Terms of Service
Introduction
Welcome to CoatCheck ("Service"), a web-based platform provided by CoatCheck Technology, Inc ("we" or "us"). By accessing, using, and/or creating an account on our website, you agree to be bound by these Terms of Service. These Terms of Service (the "Terms") govern your use of the Service and all related services, software, and documentation.
Definitions
"Service" means the online software provided by us, including but not limited to any features, functionality, or content made available through our website.
"Account" means a unique identifier assigned to you for access to the Service.
"User" means an individual who uses the Service, including but not limited to administrators, users, and guests.
Subscription Plans and Billing
Certain features of the Service are offered on a paid subscription basis (each, a "Subscription"). By starting a Subscription, you authorize us to charge you the recurring fees associated with your selected plan until cancellation.
- Billing Cycle: Unless otherwise stated at checkout, Subscriptions are billed monthly in advance and renew automatically until canceled.
- Changes and Cancellations: You may change or cancel your plan at any time. Changes take effect at the next billing cycle unless otherwise specified. Fees already paid are non-refundable except where required by law.
- Cancellation and Final Invoice: Upon cancellation of your subscription, you will continue to have access to the Service through the end of your current billing cycle. At the end of your billing cycle, you will receive a final invoice for any remaining fees owed, if applicable.
- Payment of Final Invoice: If the final invoice is not paid, you will not have access to the subscription until the outstanding balance is settled and a new subscription is initiated.
- Taxes: Fees are exclusive of applicable taxes, duties, and government charges, which may be charged in addition to the Subscription price.
- Failed Payments: If a payment fails, we may suspend or limit access to the Service until payment is successfully processed.
SMS Messaging Fees
SMS notifications sent to phone numbers in the United States and Canada are included at no additional cost under eligible plans. Messages to phone numbers registered outside the United States and Canada may incur additional per-message and carrier fees based on destination country and delivery requirements.
International messaging rates vary by country and are subject to change based on carrier pricing and delivery rules. For the most current information, please see your billing settings at our docs.
Use of the Service
Permitted Use: You may use the Service only for lawful purposes and in compliance with these Terms.
License Grant: We grant you a non-exclusive, non-transferable license to use the Service for personal or business purposes, subject to the restrictions and limitations set forth in this agreement.
Prohibited Uses: You shall not:
- Use the Service for any unlawful purpose;
- Interfere with or disrupt the operation of the Service;
- Use the Service to upload, post, transmit, or distribute any content that is obscene, defamatory, harassing, invasive of another's privacy, or otherwise objectionable;
- Attempt to reverse engineer, decompile, or disassemble the Service or any portion thereof.
Account Creation and Management
Registration: To use the Service, you must create an Account by providing us with your valid email address and password.
Login Requirements: You are responsible for maintaining the confidentiality of your login credentials and ensuring that all access to the Service is authorized.
Account Management: We may terminate or suspend your Account if you breach these Terms. Where reasonably possible, we will provide notice and an opportunity to remedy the breach before termination, except in cases of serious violations or legal requirements.
Content and Intellectual Property
Copyright Notice: The Service, including but not limited to graphics, logos, text, and software, is owned by us or our licensors.
User-Generated Content: You may upload, post, share, or transmit content through the Service, which you retain ownership of. By using the Service, you grant us a non-exclusive license to use, reproduce, and distribute such content as part of our services.
Third-Party Materials: We may incorporate third-party materials into the Service. Such materials are owned by their respective owners and are used subject to these Terms.
Disclaimer of Warranties
We provide the Service "as is" and "as available." We do not warrant that the Service will be:
- Error-free or uninterrupted;
- Free from viruses, malware, or other malicious software;
- Secure; or
- Suitable for your specific needs or purposes.
Limitation of Liability
In no event shall we be liable to you or any third party for any damages arising from:
- Use of the Service;
- Inability to access the Service;
- Delays in processing transactions;
- Errors or inaccuracies in the content; or
- Any other matter related to the Service.
Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Delaware. Any disputes arising from these Terms shall be resolved through binding arbitration, as provided below.
Arbitration
Any disputes or claims arising out of or related to these Terms shall be resolved through binding arbitration, in accordance with the rules of the American Arbitration Association ("AAA"). The arbitration procedure will be conducted by a neutral third-party arbitrator and may be heard in Delaware, USA.
Changes to These Terms
We reserve the right to modify, add, or delete any provision of these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes are made shall constitute your acceptance of such changes.
Entire Agreement
These Terms constitute the entire agreement between you and us regarding the Service and supersede all prior or contemporaneous agreements or understandings.
